Commercial Terms & Conditions

1. Commercial Scope & Binding Agreement

These Terms & Conditions ("Terms") constitute a legally binding agreement between you (the "Client", "User", or "Organization") and Sudhisha Digital Private Limited, operating under the brand name StepUp DigiWorld (collectively referred to as "Company", "we", "us", or "our"), with registered corporate operations at DLF Cyber City, Sector 24, Gurugram, Haryana 122002, India.

By accessing this website (stepupdigiworld.com), requesting strategy audits, submitting inquiry forms, or entering into formal Statement of Work ("SOW") agreements, you acknowledge that you have read, understood, and agreed to be governed by these Terms.

2. Advisory Services & Formal Statements of Work

Content presented on this website—including case study metrics, industry benchmark reports, ROI calculators, and downloadable guides—is provided for commercial informational and diagnostic purposes.

Specific marketing deliverables, advertising management scopes, lead qualification parameters, performance milestones, and compensation structures are governed exclusively by formal, bilateral Master Services Agreements (MSAs) and Statements of Work (SOWs) executed between authorized signatories of the Client and Sudhisha Digital Private Limited.

3. Intellectual Property Rights & Work Product

Company Proprietary Assets: All proprietary methodologies (including the Buyer Confidence Engine, Proof Deficit Scorecard, and custom automation scripts), website source code, visual design frameworks, and proprietary negative keyword databases remain the exclusive intellectual property of Sudhisha Digital Private Limited.

Client Deliverables & Work Product: Upon receipt of full and final payment under an active SOW, the Client receives full, non-exclusive, perpetual ownership of custom campaign creative assets, landing page designs, and CRM lead records generated specifically for the Client's business.

Client Trademarks: Client corporate trademarks, logos, and service marks remain the sole property of the Client. The Client grants StepUp DigiWorld a non-exclusive license to display Client logos and non-confidential aggregated case performance metrics in portfolio and marketing materials, unless an explicit Non-Disclosure Agreement (NDA) states otherwise.

4. Confidentiality, NDA & Data Protection (DPDP Act Compliance)

Both parties agree to hold in strict confidence all proprietary business data, financial metrics, customer lists, and strategic roadmaps shared during the engagement.

StepUp DigiWorld complies with India's Digital Personal Data Protection (DPDP) Act 2023 and international data privacy protocols. Inbound lead records, corporate contact forms, and CRM data collected on behalf of the Client are processed strictly for the agreed commercial purpose and are never sold, rented, or distributed to third-party data brokers.

5. Paid Advertising Budgets & Third-Party Platforms

Paid advertising media budgets (payable to Google Ads, Meta Ads, LinkedIn Campaign Manager, or other ad networks) are paid directly by the Client to the respective ad platform, or disbursed through pre-funded client accounts.

StepUp DigiWorld manages campaigns within the Client's own ad accounts to ensure 100% data ownership. We are not liable for third-party platform policy modifications, ad disapprovals, or unexpected account suspensions enacted by third-party ad networks outside our reasonable control.

6. Invoicing, Payments & Statutory Taxes

All commercial fees are invoiced by Sudhisha Digital Private Limited and are subject to applicable Goods and Services Tax (GST) at 18%, or relevant cross-border withholding tax provisions for international transactions. Invoices are payable within the net terms specified in the executed SOW.

7. Limitation of Liability & Indemnification

To the maximum extent permitted by applicable law, neither Sudhisha Digital Private Limited nor its directors, officers, or employees shall be held liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

The total cumulative liability of the Company for any claims arising out of an active engagement shall not exceed the total management fees paid by the Client to the Company in the preceding three (3) months under the governing SOW.

8. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the substantive laws of India.

The parties agree that any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts located in Gurugram, Haryana, India.
